  3. GUARANTEE AGREEMENT
  4.  
  5. ___________, referred to as GUARANTOR, in consideration of the 
  6. extension of credit by ___________, CREDITOR, to __________ 
  7. _______, DEBTOR, agrees:
  8.  
  9. GUARANTOR unconditionally guarantees to creditors and its 
  10. successors and assigns, the full and complete payment, as and when 
  11. the same becomes due and payable, the following obligations of the 
  12. DEBTOR to the CREDITOR:

  16. and in addition, all extensions, renewals and consolidations of 
  17. the obligation, together with such interest and late charges as 
  18. may accrue upon the same. For purposes of this agreement, the term 
  19. "obligation," "agreement" or "debt" includes any renewals, 
  20. replacements or modifications of the same;
  21.  
  22. Guarantor shall not be released from the obligations herein due 
  23. to:
  24.  
  25. a) the taking of security for the obligation;
  26.  
  27. b) the failure or delay in taking legal action against the DEBTOR 
  28. or collateral, if any;
  29.  
  30. c) any other actions permitted under the loan agreement;
  31.  
  32. d) any negligence or failure to act of the CREDITOR.
  33.  
  34. The CREDITOR, in its discretion, may bring suit against the 
  35. GUARANTOR, or GUARANTOR(s), jointly severally or individually, 
  36. before bringing action against the DEBTOR. The CREDITOR in its 
  37. discretion may settle, release and compromise the liability of 
  38. debtor or any other guarantor(s) of this agreement without 
  39. affecting the liability of the DEBTOR.

  41. This agreement shall bind the successor, heirs, administrators and 
  42. legal representatives of the CREDITOR.
